my 5200 gfx aint cutting it anymore. I have a budget of 300 - 400 bucks and an AGP slot wanting a new partner. can someone point me in the direction of a suitable card?

You could get a 7800GT for around $400.

and it would fit in an AGP slot?

Go for an X800XT or X850XT then.

Or if want to stay on the cheaper side with similar performance get a 6800GT.

X850's don't support OpenEX HDR (ala FarCry, SP: Chaos Theory, ect...)

I need a need a new card cause im into game dev. When I can't test the levels I build, that is a problem. So I would need something that can support HDR. looks like I will go with the 6800GT or ultra. gt is less expensive and wont drop in much performance.

If you are looking at the 6800GT/U only then definitely get the GT. You can overclock the difference if those 4 fps really matter to you.
